These Terms of Service constitute a legally binding agreement (the "Agreement") between you and Attorney Shield, Inc., a Delaware company, its parents, subsidiaries, representatives, officers and directors (collectively, "Attorney Shield," "we," "us" or "our") governing your use of the Attorney Shield applications, websites, mobile application, technology, facilities, and platform (collectively, the "Attorney Shield Platform") and the Attorney Shield Services.
This Agreement contains provisions that govern how claims between you and Attorney Shield can be brought (see Section 16). With limited exception, these provisions require you to (1) waive your right to a jury trial, and (2) submit claims to binding individual arbitration — not as a plaintiff or class member in any class or representative proceeding.
By using or accessing the Attorney Shield Platform, you acknowledge that you understand this Agreement (including the arbitration provisions in Section 16) and accept all of its terms. If you do not agree, you may not use or access the Attorney Shield Platform or Services.
What we offer. The Attorney Shield Platform provides a mobile app and technology platform to facilitate on-demand access to Attorneys for Members during critical interactions with law enforcement, for protection of your Constitutional Rights. To access the platform you must be a "Member," which requires agreement to this Agreement and the separate Law Firm Terms of Service.
Member Protection Warranty. Attorney Shield provides a supplemental Member Protection Warranty for eligible members under defined conditions. The Warranty terms, published at the warranty page, are incorporated by reference. In any conflict, the Warranty governs with respect to its reimbursement benefits. Claims must comply with all conditions in Section 2 eligibility requirements.
Warranty claims. To request reimbursement, a Member must submit a written claim within 30 days of the incident, provide all required documentation, and authorize Attorney Shield to review relevant recordings and records. Reimbursement is limited to documented out-of-pocket costs and shall not exceed the Program Limit. Attorney Shield may deny any non-compliant claim.
The Attorneys. The "Attorneys" are individual attorneys or law firms connected to Members through the platform to provide Legal Services. "Constitutional Rights" are federal rights under the 1st, 2nd, 4th, 5th and 6th Amendments. "Interactions" are law enforcement-initiated contacts, including traffic stops, auto accidents, domestic incidents, pedestrian stops, and other detainments, questionings, and interrogations. The platform connects you to Attorneys for the Limited Period during Interactions, for emergency use when traditional legal support is inaccessible.
Attorney Shield does not provide legal advice or legal services. Attorney Shield is not a law firm and is not an attorney. The platform serves as a technological communication layer between Members and the Attorneys. Attorney Shield does not employ or supervise the Attorneys and has no direct control over them.
Use of the service does not create an attorney-client relationship between you and Attorney Shield. When connected with an Attorney, it is solely your choice whether to accept engagement with that Attorney; you may reject the Attorney at your discretion. Attorney Shield does not endorse any Attorney and makes no representations as to an Attorney's qualifications (other than being barred and licensed) or the quality of legal services provided.
The platform may only be used by individuals with the right and authority to enter this Agreement. Services are unavailable to Members whose accounts have been deactivated. You may not allow others to use your account, and each person may create only one Member account. By becoming a Member you represent that you are at least 18 years old. A parent or legal guardian may create an account for a 4-to-17-year-old minor subject to the requirements and restrictions set forth in this Agreement, and assumes responsibility for the minor's use.
Charges include Membership Fees and applicable taxes. Attorney Shield may determine and change fees by posting pricing terms. Membership Fees are based on the product and billing cycle selected (monthly, semi-annually, annually, or other) and billed per the billing cycle. Offer details are non-binding until purchase is completed and payment processed.
All payments are non-refundable, non-cancelable and non-creditable except as otherwise provided or required by law. You can cancel your membership at any time via support@attorney-shield.com or the member portal; cancellation takes effect at the end of the then-current billing cycle. Failure to pay may result in suspension or termination. You represent that your payment information is correct and agree to notify us of changes or suspected fraudulent transactions.
"Information" is any information you provide to or through the platform, or that is provided on your behalf. You consent to our use of your Information to create and operate your account and to provide it to the Attorney for Legal Services, as set forth in our Privacy Policy. You grant Attorney Shield a non-exclusive, worldwide, royalty-free, transferable license to use your Information to provide and improve the platform and services, subject to the Privacy Policy. Attorney Shield does not assert ownership over your Information; you retain ownership subject to the rights granted here.
Subject to the Privacy Policy, you agree to receive communications from us, our affiliates, and third-party partners via the phone numbers, email, text, calls, and push notifications you provide. Messages may be generated by automatic dialing systems and may be operational, service-related, or promotional. Standard carrier charges apply.
You may opt out of promotional emails or texts by following the unsubscribe options. Opting out of all texts may impact your use of the services. You may receive a one-time opt-out confirmation message.
Attorney Shield grants you a limited, non-transferable, revocable right to access and use the platform solely for using the Services. You agree that you will NOT, among other things: impersonate any person or entity; stalk, threaten, or harass any person, Attorney Shield staff, contractor, or affiliate; perform "First Amendment audits" or stage encounters while using the Services; display or distribute platform video footage that is threatening, fraudulent, abusive, obscene, harassing, or illegal, or that contains the name or image of any Attorney Shield employee, contractor, or affiliate; violate any law during an active session; interfere with the Services; transmit malicious code; reverse engineer or disassemble the platform; rent, sell, sublicense, or transfer your account; scrape or data-mine the platform; discriminate against or harass staff; misuse the Services; or cause any third party to do the above.
Any violation may result in immediate termination of your access, cancellation of your membership, and removal of your account, with no refund for the unused portion. Report suspected unauthorized use or security breaches to support@attorney-shield.com.
All intellectual property rights in the platform are owned by Attorney Shield. Other trademarks and names are the property of their respective owners. Any submissions you provide (including incident footage, feedback, and ideas) are non-confidential and become the sole property of Attorney Shield, which may use them for any purpose, provided personally identifying details of the Member are obscured or removed. The "Attorney Shield Marks" are registered trademarks or trade dress of Attorney Shield; you may not use them without express written consent and must comply with Attorney Shield's Brand Guidelines.
The platform only connects Members to Attorneys to protect Constitutional Rights, and for no other purpose. Attorney Shield does not provide Legal Services and is not a party to the Legal Services Agreement between the Attorney and the Member.
Except for the express written terms of the Member Protection Warranty, the platform and services are provided on an "AS IS" basis without warranty of any kind. We do not guarantee any specific outcome, including the availability, timeliness, or success of any connection to an Attorney. We disclaim all implied warranties to the fullest extent permitted by law.
Attorney Shield may limit or eliminate access at its discretion, including by geography or time. We do not warrant uninterrupted, error-free, or always-available service, and disclaim liability for connectivity, geolocation, and routing. You are responsible for your conduct and for use of your account. Location data is for basic purposes only. Platform use relies on a functioning device and data plan, for which Attorney Shield is not responsible. Provisions specific to Apple App Store and Google Play acquisitions, and a Force Majeure clause, also apply.
You will indemnify and hold harmless (and, at Attorney Shield's election, defend) Attorney Shield and the Indemnified Parties from claims, losses, liabilities, and expenses (including reasonable attorneys' fees) relating to your use of the platform and services, including your breach of this Agreement, your violation of law or third-party rights, infringement claims arising from your submissions, your operation of a vehicle as a Member, and other activities in connection with the platform.
In no event will Attorney Shield be liable for any incidental, special, exemplary, punitive, consequential, or indirect damages arising out of or in connection with the platform, services, or this Agreement, however arising, even if advised of the possibility of such damages.
Attorney Shield's aggregate liability will not exceed the total amounts paid to Attorney Shield by the Member in the twelve (12) months preceding the event giving rise to the claim. Some jurisdictions do not allow certain limitations, so some may not apply to you. Attorney Shield has no responsibility or liability for any Legal Services obtained through the platform.
Attorney Shield may modify these terms, binding upon your acceptance of the modified Agreement, and may modify linked pages effective upon posting. Continued use after changes constitutes acceptance.
This Agreement is effective upon acceptance. Either party may terminate with notice; Attorney Shield may terminate immediately upon your breach. Upon termination you lose access to the platform and services. Sections 2, 5, 6, 8–12, and 16–17 survive termination.
Attorney Shield does not warrant or support third-party services, which are not under its control. Such services are provided "as-is," subject to separate terms between you and the provider, and Attorney Shield has no liability arising from them.
Attorney Shield may offer promotions and referral or loyalty programs at its discretion, and may withhold or deduct credits obtained in error, fraudulently, or in violation of program terms. Programs may be modified or canceled at any time. Participation in the Referral Program is subject to this Agreement and additional Referral Program rules.
Exhibit 1 sets forth the dispute-resolution process: claims arising under this Agreement are subject to mandatory, binding, individual arbitration. Read Exhibit 1 carefully, as it affects your rights in the event of a dispute or claim.
This Agreement is governed by the laws of the State of Florida without regard to choice-of-law principles. If any provision is invalid, the remainder stays in effect and the parties will replace it with a valid provision of similar effect. Attorney Shield may assign this Agreement; you may not assign without prior written approval. Notices to Attorney Shield go to Attorney Shield, Inc., 7901 4th Street North, Suite 5473, Saint Petersburg, Florida 33702. This Agreement is the entire understanding between you and Attorney Shield and supersedes prior agreements.
You and Attorney Shield mutually agree to waive the right to resolve disputes in court before a judge or jury and to resolve any dispute by arbitration. Any arbitration will take place on an individual basis; class arbitrations and class actions are not permitted.
This Arbitration Agreement is governed by the Federal Arbitration Act and survives termination. It applies to all Claims between you and Attorney Shield (and its service providers as third-party beneficiaries), including disputes arising out of this Agreement, the platform and services, your account, payments, and related programs. Disputes about arbitrability are decided by the arbitrator, except as expressly provided.
(b) Class action waiver. You and Attorney Shield may bring claims only in an individual capacity, not on a class, collective, or representative basis. Disputes about the enforceability of the Class Action Waiver are decided by a court, not an arbitrator.
(c) Representative PAGA waiver. To the fullest extent permitted by law, the parties agree not to bring representative PAGA actions; private-attorney-general claims proceed on an individual basis, with enforceability decided by a civil court.
(d)–(j) Rules, fees, location & exceptions. Arbitration is administered by the American Arbitration Association under its Consumer Arbitration Rules. If Attorney Shield initiates arbitration, it pays AAA filing and arbitration fees. Hearings take place in St. Johns County, Florida (or the nearest available Florida location). Exceptions include qualifying small-claims actions, certain PAGA claims, claims that may not be arbitrated as a matter of law, and individual claims of sexual assault or sexual harassment. An optional 30-day pre-arbitration negotiation process is available. The Arbitration Agreement binds and benefits specified third parties.

These Terms constitute a separate agreement between you and the law firm providing Legal Services ("Law Firm," "we," "us," or "our"). You access the Legal Services through Attorney Shield, Inc.'s communications platform. This agreement is solely between you and the Law Firm; Attorney Shield, Inc. is not a party.
This agreement contains provisions governing how claims between you and the Law Firm can be brought (see Section 13). With limited exception, they require you to waive your right to a jury trial and submit claims to binding individual arbitration.
1. Scope. Upon connection, the Law Firm's assigned attorneys provide advocacy, legal information, and best practices during a law enforcement-initiated contact implicating your 1st, 2nd, 4th, 5th and 6th Amendment rights, for the limited "Call Period" (from the start of the call to its conclusion). Legal Services do not cover Non-Covered Locations such as tribal lands, U.S. military installations, or outside the fifty states.
2–4. Limitations, representation & disclaimer. The Law Firm provides only the limited Legal Services within the Scope during the Call Period and will not provide service outside it. All representation ends at the conclusion of the Call Period. The Law Firm does not guarantee any specific outcome and relies on the accurate information you provide.
5–8. Restrictions, termination, fees & staffing. You agree not to misuse the Legal Services (similar restrictions to Section 7 above). Representation terminates at the end of the Call Period. No fees are collected from you by the Law Firm; amounts are facilitated by Attorney Shield as part of your membership. The Law Firm assigns an attorney upon notification that you are engaging the Services.
9. Client recordings. The Attorney Shield platform records audio and video of the call (and potentially interactions with law enforcement). The recording is stored on the Attorney Shield platform; the assigned attorney does not have access, though Law Firm management may access it if flagged for post-Call-Period review. The Law Firm does not store the recording.
10–14. Communications, liability, governing law & general. The Law Firm and its attorney contact you only through the Attorney Shield platform. The Law Firm has no liability for acts or omissions outside the Scope or Call Period, and is not liable for incidental, special, punitive, consequential, or indirect damages. This agreement is governed by the law of the state where the Law Firm is located, and disputes are subject to binding individual arbitration under its own Exhibit 1, mirroring the AAA process described above.
